Understanding Identity Verification for People with Significant Control (PSCs)

As part of the UK government’s efforts to tackle economic crime, Companies House has introduced new identity verification requirements for People with Significant Control (PSCs). This guide explains what you need to know.

What is a PSC?

A PSC is someone who owns or controls a company. This could be through holding more than 25% of the shares or voting rights, having the power to appoint or remove directors, or otherwise influencing key decisions.

Why do PSCs need to verify their identity?

Identity verification helps to:

•Tackle fraud and economic crime

•Improve the accuracy of the Companies House register

•Make it harder for criminals to use fake or stolen identities

When do PSCs need to complete identity verification?

Every PSC has a 14-day period to provide their Companies House personal code and a verification statement. The timing of this period depends on your circumstances:

•If you are a PSC and a director of the same company: Your 14-day period starts the day after your company’s confirmation statement date.

•If you are a PSC but not a director: Your 14-day period is the first 14 days of your birth month.

•If you are a new PSC: Your 14-day period starts shortly after you are added to the register.

How does the process work?

1. Verify your identity: You can do this through the Verify your identity for Companies House service (which uses GOV.UK One Login) or via an Authorised Corporate Service Provider (ACSP). You only need to do this once.

2. Receive your personal code: Once verified, you will receive a personal code.

3. Provide your personal code to Companies House: During your 14-day period, you can use the Provide identity verification details for a PSC service to link your personal code to your PSC role.

Important Things to Remember

Check your details: Before you verify, make sure your personal details (like your date of birth) held by Companies House match your identity documents.

Data mismatches: If your details do not match, you will not be able to connect your verified identity. You will need to correct your details first.

Extensions: You can request a 14-day extension online if you cannot provide your details on time.

Separate verification: Even if you have verified as a director, you must still provide your personal code again for your PSC role.

Penalties: Failure to comply with these requirements is an offence and may result in a financial penalty.
